Summary

Chelsea represents real estate investors, owners, operators, developers, and lenders in commercial real estate transactions. She focuses on the acquisition, development, construction, financing, and disposition of commercial properties across a range of asset classes, including multifamily, mixed-use, retail, industrial, office, restaurant, and health care.

Chelsea brings particular experience advising multifamily owner-operators, institutional investors, and private-equity-backed real estate businesses. Her practice includes joint ventures, preferred equity investments, private equity transactions, public-private partnerships, and other investment arrangements. Her financing experience includes representing borrowers, banks, and other commercial lenders in acquisition loans, construction loans, refinancings, SBA and other government-backed loan transactions. She also advises on condominium and development documentation and post-development matters.

Before returning to private practice, Chelsea served as associate general counsel and chief compliance officer for a multifamily private-equity owner-operator. She led the legal department and was responsible for the company’s legal, transactional, compliance, and risk-management functions, including acquisitions, dispositions, financings, fund operations, preferred equity investments, and other day-to-day legal needs. She also oversaw REIT compliance and worked closely with outside counsel on matters affecting the company’s real estate investments, funds, and operations.

Chelsea also served as sole in-house counsel for a U.S.-headquartered real estate company listed on the Toronto Stock Exchange, supporting a health care real estate portfolio in the U.S. and Canada and coordinating with Canadian counsel on cross-border real estate matters. Drawing on her in-house background, Chelsea provides practical, business-focused counsel that accounts for legal risk, transaction execution, timing, operational realities, compliance considerations, and the investment objectives driving each matter.

Her additional experience includes representing utility companies, solar developers, and municipalities in real estate matters involving development, infrastructure, and redevelopment projects. She is a certified civil mediator in Indiana.
