Elisa M. Rhodes

Elisa is an associate attorney focused on mergers and acquisitions, representing private equity sponsors, their portfolio companies, and privately held companies across a broad range of buy-side and sell-side transactions. She advises clients on all aspects of the M&A process, including transaction structuring, legal due diligence, drafting and negotiating definitive transaction agreements, and managing transactions from initial negotiations through closing. Elisa has experience advising clients on a variety of complex transactional matters, including platform and add-on acquisitions, divestitures, strategic investments, and other corporate transactions. She works closely with clients to navigate legal and commercial considerations, manage transaction risks, and achieve their business objectives.

In addition to her M&A practice, Elisa has experience in investment fund formation and structuring, including preparing offering documents, subscription materials, and governing agreements for private equity and real estate funds. She also advises clients on gaming-related matters, particularly structuring and implementing sweepstakes and raffles in compliance with applicable state and municipal requirements.

While in law school, Elisa served as a judicial intern for the Massachusetts Land Court.
