David M. Calhoun

David practices in the areas of mergers and acquisitions, corporate finance, private equity, and securities. He is very active in M&A transactions and capital raising transactions for public, private equity backed, and founder owned companies. He represents both buyers and sellers in company acquisitions and sales, asset purchases and sales, including international and cross-border transactions, and leveraged buy-outs. He represents companies as well as investors, including venture capital and growth equity funds, in capital raising transactions.

David also has significant experience in public and private securities and corporate finance, including representation of issuers, underwriters, and investors. He works closely with clients to help them navigate sale transactions, venture capital financings, debt and equity offerings (public and private), going private transactions, IPOs, secondary offerings of common and preferred securities, PIPEs (private investments in public equity), and tender offers.

David’s clients include companies and private equity and venture capital investors in numerous industries, including technology, financial technology and payments, healthcare technology, business process outsourcing, and manufacturing. In addition to M&A and corporate finance work, he often assists clients with general corporate counseling, corporate governance, audit and special committee representation, and securities law compliance matters.

• Represented multiple private equity funds and their portfolio companies in acquisitions of, or investments in, companies in numerous industries, including financial technology and payments, government compliance, manufacturing, commercial testing and certification services, education technology, healthcare technology, and insurance.
• Represented multiple U.S. private equity backed companies in acquisitions of foreign companies, including recent acquisitions of companies in Mexico, Brazil and India.
• Represented significant PPO network in sale to private equity.
• Represented a bank technology company in the sale to a private equity backed strategic buyer.
• Represented a manufacturing company in the sale to a private equity backed strategic buyer.
