Summary
Mark has a broad corporate practice, concentrating in corporate finance and securities law, corporate governance and transactional matters. He represents clients in structuring and consummating complex corporate transactions, including registered and unregistered securities offerings, mergers, acquisitions, divestitures and corporate restructurings.
Mark also has extensive experience advising public companies on compliance with periodic reporting requirements, including the preparation and filing of annual, quarterly and current reports, proxy statements and Section 16 filings and stock exchange listing requirements. He also has experience representing investors, including public companies, in connection with venture capital investments, as well as start-up and development stage companies relating to financings and general corporate matters.
Prior to joining the firm, Mark was an associate in the corporate practice group of a large international law firm.

- Represented an internally managed industrial REIT in its initial listing of common stock on the New York Stock Exchange and its at-the-market offering of common stock in the aggregate amount of up to $50 million.
- Represented an internally managed industrial REIT in its underwritten public offering of $50 million of preferred stock and the concurrent listing of such stock on the New York Stock Exchange.
- Represented a health information technology company in its underwritten public offering of $16.1 million of common stock.
- Represented an internally managed office REIT in its private offering of $90 million of preferred stock.
- Represented an internally managed industrial REIT in its private offering of up to $700 million of common stock.
- Represented a battery manufacturer and distributor in its concurrent public offerings of $187.5 million of common stock and $187.5 million of preferred stock.
- Represented a battery manufacturer and distributor in its private offerings of senior notes in the aggregate principal amounts of $500 million, $600 million and €650 million.
- Represented a plastic packaging manufacturer in its private offering of an aggregate of €1.075 billion of first priority senior secured notes.
- Represented a global digital consultancy company in its private offering of convertible senior notes in the aggregate principal amount of $125 million.
- Represented a health information technology company in the secondary public offering of approximately $890 million of common stock by existing stockholders and the concurrent repurchase by the company of approximately $300 million of common stock.
Emerging Companies and Venture Capital
- Represented a natural language processing text analytics company in multiple venture capital rounds.
- Represented a bioagriculture company in its $20 million Series D venture capital round.
- Represented a multinational agricultural company in a series of early-stage venture capital investments.
REIT Mergers & Acquisitions
- Represented a special committee of the board of directors of a multifamily REIT in connection with its stock for stock merger with another multifamily REIT and a related self-administration transaction, resulting in a combined company with a gross real estate value of $2.7 billion.
- Represented a healthcare REIT in connection with its stock for stock merger with another healthcare REIT, resulting in a combined company with a gross investment value of approximately $4.2 billion.
