Summary
Elisa is a transactional attorney who focuses her practice on mergers and acquisitions, including related equity, debt, and mezzanine financings. She also has experience in investment funds, specifically determining the appropriate structure for the fund, drafting private placement memorandums, limited partnership agreements, limited liability company agreements, subscription booklets, and upper-tier governing agreements relating to private equity and real estate funds.
Elisa also handles all aspects of the certification process for disadvantaged, minority, women, and veteran business enterprises (D/M/W/VBEs) with various agencies throughout the country. She navigates clients through regulations pertaining to D/M/W/VBEs, assesses certification eligibility, and provides strategic advice regarding best corporate practices. Elisa analyzes certification eligibility denials and drafts appeals. Additionally, she has handled transitions of certified companies from one generation to the next and during the sale of the company, ensuring that there is no disruption to the certification.
While in law school, Elisa was a Judicial Clerk intern for the Massachusetts Land Court.
