Summary
David focuses on public company and securities matters. David regularly represents issuers and underwriters in connection with initial public offerings, follow-on offerings of equity, debt, and convertible securities, American Depositary Receipt programs, Rule 144A offerings, and “at-the-market” programs. He counsels clients on corporate governance matters and complex securities law and disclosure issues. David advises public companies on reporting and compliance obligations, including the preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and NYSE and Nasdaq listing standards. He also represents buyers and sellers in a wide range of public and private mergers and acquisitions, including de-SPAC transactions.
He earned his bachelor’s degree in political science from The Ohio State University and his J.D. from The Ohio State University Moritz College of Law.
