Summary

David is an associate in Taft’s Business practice group where he focuses on public company and securities matters. David regularly represents issuers and underwriters in connection with initial public offerings, follow-on offerings of equity, debt, and convertible securities, Rule 144A offerings, and “at-the-market” programs. He counsels clients on corporate governance matters and complex securities law and disclosure issues. David advises public companies on reporting and compliance obligations, including the preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and NYSE and NASDAQ listing standards. He also represents buyers and sellers in a wide range of public and private mergers and acquisitions.

He earned his B.A. in political science from The Ohio State University and his J.D. from The Ohio State University Moritz College of Law.
