Summary
Kelly Kroll has extensive experience with federal, state, and local government contract formation and administration matters. She helps clients at every stage of the government procurement process, analyzes the risks associated with entering the federal market, and identifies any issues that may occur during the solicitation process, award, performance, and close-out of the contract. Kelly routinely counsels clients on how to negotiate both prime and subcontract terms and provides clients with a better understanding of their responsibilities and obligations.
Additionally, Kelly works with her clients to help them successfully navigate the specifics associated with teaming agreements, subcontracts, bid protest prosecution and defense, audit defense, and small business contracting rules and regulations. Kelly’s in-depth knowledge of the GSA Schedule Program helps clients navigate the rules and regulations that embody the federal procurement process. With over thirty years’ experience with the Program, Kelly is able to streamline the lengthy, and oftentimes confusing, GSA Schedule process, positioning the client to successfully sell its products and services to the federal government. Kelly has hands-on working knowledge of the various government systems associated with government procurement such as SAM, eMod, eBuy, SRP, eSRS and many others. Kelly provides practical advice on matters both big and small.

Notable Matters
- Successfully negotiated with the U.S. Department of Housing and Urban Development to lift a three year debarment imposed on a client based on a criminal conviction
- Represented over 100 GSA Schedule vendors with proposal preparation, contract modifications, compliance, and other administrative matters
- Assisted in the defense and settlement of a multimillion dollar False Claims Act action against a GSA Schedule contractor alleging violations of the Price Reduction Clause and other pricing disparities
- Provided advice and counsel on country of origin determinations under the TAA’s substantial transformation test for purposes of certifying compliance in connection with a multi-year federal contract award in excess of $10 million
