Summary

Andrew helps businesses and investors proactively identify and mitigate their legal risks, particularly in connection with mergers and acquisitions, fundraising and other high-priority transactions. As outside general counsel, Andrew advises on issues from contract negotiations to regulatory compliance.  He works closely with clients to understand their strategic objectives, structure and execute transactions efficiently, and position them to seize opportunities as they arise.

Andrew regularly counsels family-owned businesses, professional services firms, fund sponsors, and portfolio companies on acquisitions and dispositions, joint ventures, and recapitalizations. He draws on Taft’s depth of experience across legal disciplines to bring the right team to bear on sophisticated issues, translating client concerns into clear, actionable guidance. Andrew’s practice extends across industries, but he frequently works with clients involved in manufacturing, consulting, restaurants and health care.

Prior to joining Taft, Andrew was a corporate associate at Debevoise & Plimpton LLP in Washington, D.C. and New York, where he advised on multibillion-dollar transactions, assisted with white-collar crime investigations, and supported regulatory and legislative advocacy and compliance initiatives for major financial institutions. He has significant experience representing clients engaged in cross-border business and navigating associated legal challenges.

Andrew previously served as a law clerk for the U.S. Securities and Exchange Commission in its Division of Corporation Finance and for the U.S. Federal Communications Commission in its Wireline Competition Bureau. Andrew brings practical insights from his Beltway upbringing in engaging with government regulators on clients’ behalf.

Andrew earned his J.D., magna cum laude and Order of the Coif, from Georgetown University Law Center and his bachelor’s degree, cum laude, in economics and finance (with a minor in mathematics) from Centre College. While in law school, Andrew was an Articles Editor for The Georgetown Law Journal.
