Aaron M. Miller

Aaron is an associate in Taft’s Detroit office and focuses his practice on all aspects of corporate transactional matters. He routinely represents private equity sponsors, venture capital funds, closely held companies, and emerging growth companies in connection with mergers and acquisitions, venture capital financings, corporate governance, and the day to day legal and strategic matters that arise throughout a company’s lifecycle.

In his M&A practice, Aaron represents buyers and sellers in a broad range of strategic and financial acquisitions and sales, including platform acquisitions, add on acquisitions, and exits for private equity funds and corporate clients. He has experience advising on transactions involving representation and warranty insurance and regularly leads buy side and sell side due diligence while drafting and negotiating definitive transaction agreements and related ancillary documents.

In his venture capital and emerging companies practice, Aaron represents companies and venture capital funds in debt and equity financings across every stage of the venture capital lifecycle, from seed and bridge financings through priced Series rounds and later stage growth capital. He advises founders, management teams, and investors on term sheets, capitalization, corporate governance, investor rights, and ongoing compliance with financing documents. In addition to transactional matters, Aaron provides day to day counsel to emerging growth companies on corporate structuring, board and stockholder matters, commercial contracts, and other legal and strategic issues that arise as they grow.
