Nealis to Present Contract Pitfalls at NBI Seminar

Taft partner Peter S. Nealis is one of four presenters at the National Business Institute seminar “Negotiating Indemnification, Reps, Warranties and More in Business Contracts.” The program will dive into strategies to negotiate critical contract provisions to help avoid risk, liability and potential errors that indemnification and other clauses can bring.

Designed for attorneys and paralegals, the seminar will be conducted Friday, August 17 from 9:00 a.m. – 4:30 p.m. at the Hyatt Place Tampa Airport/Westshore in Tampa, Fla.

Nealis will conduct two of the eight sessions. His first is “Earnouts, Contributions, Salaries, Distributions, Price and Payments.” In it, he will address:

  • Secrets to Structuring and Strategically Negotiating.
  • Review of Real-World Language and Clauses.
  • Articulating Formulas that all Parties Agree to.
  • Adjustment Negotiation and Re-Negotiation Strategies.
  • Push-Back on Price and Payment.
  • Tax Considerations and Allocation Issues.
  • Case Law Review.

Later in the afternoon, Nealis will present “Fiduciary Duties and Decision Making – Enforceability and Liability Distribution.”
