Dave's practice involves a blend of corporate law and real estate with a focus on business transactions, finance, development, land use, and governance. He serves as outside general counsel to multiple small and medium-sized companies, which include family-owned and closely-held companies. Dave has counseled businesses through loan workouts with their lenders resulting in continued operations and long-term visibility. He is a member of Taft's Distressed Company Task Force, which was created to assist borrower clients in every way during the COVID-19 pandemic, including how to navigate discussions with their lenders and in addressing concerns over supplies and stakeholders.

Dave's experience in the corporate area includes business structuring and transition, merger and acquisition, debt restructuring, regulatory work and minority/disadvantage business enterprises. His merger and acquisition experience ranges from public entity transactions to private equity deals. Dave regularly works with start-up businesses and represents private investor groups. He also represents nonprofit corporations, including hospitals and other charitable institutions.

In the real estate arena, Dave represents developers (commercial and residential), property managers, real estate syndications and real estate brokers. He assists clients with real property acquisitions and development, entity structuring, financing review, zoning, annexation, tax increment financing issues, real estate tax valuation complaints and tax exemption applications. His leasing expertise includes representation of commercial landlords and tenants in multi-tenant industrial and office leases, build-to-suit arrangements, medical buildings and physician office space leases. Dave also represents a number of private and institutional lenders in asset-based loan transactions.

Dave has been continuously listed in Best Lawyers in America® since 2010. He is on the Dayton and the State of Ohio boards of the National Association of Industrial and Office Properties (NAIOP). He also serves on the Advisory Board for the Salvation Army of Dayton.

Dave received his undergraduate degree from Dartmouth College and his law degree from the University of Notre Dame.
