Summary

Alyssa focuses her practice on general corporate law transactions and mergers and acquisitions. She represents public and private companies and private equity firms in a variety of industries in mergers, acquisitions, recapitalizations, and other general corporate and commercial matters.

Alyssa possesses extensive and up-to-date expertise in negotiating trends in transactions as a member of the national working group responsible for producing the Private Target Mergers & Acquisitions Deal Points Study for the Mergers and Acquisitions Committee of the American Bar Association. She is well-versed in all aspects of M&A transactions, including creating and negotiating letters of intent, conducting due diligence, drafting and negotiating acquisition documents, overseeing the completion of transactions, and managing post-closing affairs. Additionally, Alyssa frequently assists private companies of all sizes with matters such as shareholder agreements, general corporate and contractual issues, corporate governance, and financing.
