Summary

Alan focuses his practice on securities, corporate finance, mergers and acquisitions, and general corporate and commercial affairs. He represents public and private companies in various types of financing transactions such as private placements and public securities offerings, including IPOs and other underwritten public offerings, registered direct offerings, PIPE financings (private investment in public equity), reverse merger transactions, venture capital investments, and retail private placements. He also advises underwriters and placement agents that assist companies in raising capital.

Alan advises public companies on SEC regulatory compliance, corporate governance, and executive compensation matters and also represents both purchasers and sellers in merger and acquisition transactions.

  • Served as issuer’s counsel in connection with initial public offerings, follow-on public offerings, PIPE offerings, equity line financing and/or other alternative public financing transactions, including for several NASDAQ and NYSE American exchange listed companies.
  • Served as underwriter and placement agent counsel in connection with public and private securities offerings.
  • Represented a publicly-traded veterinary health company in connection with its acquisition of three target companies representing new strategic business lines.
  • Served as purchaser’s counsel in connection with the acquisition of a Minneapolis, MN-based scrap metal recycling company, and subsequently as principal outside counsel, including in connection with several follow-on acquisitions, joint ventures and other strategic transactions.
  • Served as counsel to the purchaser of a multi-location regional chain of pawn shops, and subsequently in connection with acquisitions of additional pawn shop locations and the subsequent sale of the entire company.
  • Served as Sellers’ counsel in connection with various sale of the business transactions.
