Howard Bobrow’s practice is primarily devoted to corporate finance with a particular focus on private equity and venture capital, corporate governance, mergers and acquisitions, public and private securities law, and general business law for emerging growth and public companies.

Private Equity / Venture Capital
Mr. Bobrow counsels venture capital/private equity funds and other institutional investors, as well as angel investors, on all aspects of private equity investing, private placements and the capital formation process, including due diligence, letters of intent, structuring transactions, price and valuation alternatives, documentation, and closings in connection with a wide range of early and later-stage transactions, including technology validation, technology transfer, seed investment, early-stage investment and follow-on investment transactions.

Mr. Bobrow represents entrepreneurs, emerging growth companies and mature companies (public and private), including numerous biotechnology and internet security companies, in relation to capital formation, equity and debt financing, joint ventures, technology licensing, and a variety of general corporate and business matters.

Mr. Bobrow also counsels buyers and sellers on all aspects of the mergers and acquisitions process and counsels clients on a wide variety of general corporate and business matters.

Fund Formation
Mr. Bobrow represents private equity and venture capital funds in connection with their organization and formation, the fundraising process, governance matters, investments in portfolio companies, and compliance with the Investment Company Act of 1940 and the Investment Advisors of Act of 1940.

Mr. Bobrow was named an Ohio Super Lawyer, Rising Star by Cincinnati Magazine and is recognized as one of The Best Lawyers in America in the categories of Venture Capital and Corporate Law.  Mr. Bobrow has also been named a Leading Lawyer by Inside Business Magazine.

Mr. Bobrow is on the Board of Trustees of the Ohio Venture Association and is a member of  the Association for Corporate Growth, and the Cleveland, Ohio State, and American Bar Associations.
